1. Rights Granted.
Manufacturer hereby grants to Distributor the exclusive right, on the terms and conditions contained herein, to purchase, inventory, promote and resell "Manufacturer's Products" (as defined below) for the fairs and institutions within the following area (the "Territory"): Kuwait.
2. Products.
As used in this Agreement, the term "Manufacturer's Products" shall mean the taps, faucets, water heaters, hand showers,
related service parts and accessories manufactured and/or sold by Manufacturer.
3. Terms of Sale.
a) All prices Manufacturer quotes are based on parity FCA Simanovci, 22310, Serbia and will be governed by the
Incoterms 2010 (ICC publication 560).
b) Manufacturer agrees to properly pack all items for shipment in their respective retail packs (as approved by the
Distributor). The shipper will be selected by Distributor. All orders are subject to acceptance by Manufacturer.
Except as otherwise expressly agreed by Manufacturer in advance, this Agreement shall control all aspects of the dealings between Manufacturer and Distributor with respect to the Manufacturer's Products and any additional or different terms in any Distributor order are hereby rejected unless accepted by the Manufacturer and billed at a Manufacturer's discretion.
c) Distributor will participate in the shipping cost for each 4.Q_ft. full container load in the amount of €1,200 (one thousand two hundred euro) to the Al Shuwaikh Port in State of Kuwait. The exception will be the first 40 ft. container which will be paid in full by the Manufacturer.
4. Payment.
a) Distributor agrees to purchase a minimum of three hundred thousand euro (€300,000.00) of Manufacturer's Products during the duration of this contract (the "Order"), for the duration of this contract. Manufacturer will allow split orders and split payments.
b) Order will be in the paid in advance, in form of wire transfer/TT (the "Payment"). Taxes and bank transfer fees are the responsibility of the Distributor.
c) Payment will be fully operational to Manufacturer at a bank of Manufacturers designation by the end of the calendar year for each of the year the Agreement is in force. Manufacturer will provide Distributor with bank information at the time of quotation. Manufacturer will allow the grace period of two (2) calendar weeks from the dates specified to Distributor to furnish the Payment. Should the Payment not be operational to the Manufacturer, this Agreement will terminate immediately with no recourse to the Distributor.
d) This Order will constitute a guaranteed purchase amount for specified time period. The Distributor agrees to purchase the amount of Manufacturer's Products equal to the Payment.
e) The Order will be reduced by the amount purchased by the Distributor, according to the published price list of the Manufacturer.
0 Manufacturer shall improve and modify the Manufacturer's Products and shall communicate any modifications including the consequential price increase or decrease to the Distributor with thirty (30) days advanced notice. Distributor agrees fully to accept these modifications in good faith as long as they do not exceed ten percent (±10%).
g) Petroleum based products including engineering plastics and master batches, which are Manufacturer's raw materials, have had a tendency to increase as a result of various economic and political instabilities. This increase is not consistent by product, supplier, nor by geographic region. Thus Manufacturer reserves the right to modify the price should the raw materials price escalate more than two percent (2%).
5. Marketing Policies.
Distributor will at all times maintain adequate inventories of Manufacturer's Products and will promote vigorously and effectively the sale of Manufacturer's Products through all channels of distribution prevailing in the Territory, in conformity with Manufacturer's established marketing policies and programs. Distributor will use its best efforts to sell Manufacturer's Products to aggressive, reputable, and financially responsible dealers providing satisfactory consumer service throughout Distributor's primary marketing area. Distributor is authorized to enter into written agreements with its dealers relating to the purchase, resale and service of Manufacturer's Products on forms approved by Manufacturer for this purpose.

1. الحقوق الممنوحة
يمنح المُصنع بموجب هذه الاتفاقية الموزع الحق الحصري، وفقًا للشروط والأحكام الواردة في هذه الاتفاقية، لشراء وتخزين، وترويج وإعادة بيع "منتجات المُصنع" (المُحددة أدناه) للمعارض والمؤسسات داخل المنطقة التالية ("الإقليم"): دولة الكويت.
2. المنتجات
وفقًا لما هو مُتبع في هذه الاتفاقية، يعني مصطلح "منتجات المُصنع" الصنابير والحنفيات وسخانات المياه ودش استحمام وقطع الغيار ذات الصلة والاكسسوارات المصنعة و / أو التي يبيعها المُصنع.
3. شروط البيع
أ. تستند جميع عروض أسعار المُصنع على الامتثال لهيئة الرقابة المالية بسيمانوفي، 22310، صربيا، وعلى أن تخضع لشروط التجارة الدولية 2010 (منشور غرفة التجارة الدولية رقم 560).
ب. يوافق المُصنع على تعبئة كافة الأصناف بشكل صحيح للشحن وذلك في عبوات البيع بالتجزئة الخاصة بكلٍ منها (وفقًا لما يعتمده الموزع). ويختار الموزع شركة الشحن. وتخضع كافة طلبات الشراء لموافقة المُصنع. ما لم يتفق المُصنع على خلاف ذلك صراحةً مُسبقًا، تتحكم هذه الاتفاقية في كافة جوانب التعاملات بين المُصنع والموزع فيما يتعلق بمنتجات المُصنع، على أن تُرفض أية شروط إضافية أو مختلفة في أي طلب شراء يقدمه الموزع بموجب هذه الاتفاقية ما لم يقبله المُصنع وأن يُحصل ذلك وفقًا لتقدير المُصنع.
ج. يشارك الموزع في تكلفة الشحن لكل حاوية يبلغ طولها 40 قدمًا وكامل حمولتها بمبلغ 1200 يورو (ألف ومائتي يورو) إلى ميناء الشويخ في دولة الكويت. على أن تُستثنى أول حاوية يبلغ طولها 40 قدمًا، والتي يدفع المُصنع تكلة شحنها بالكامل.
4. السداد
أ. يوافق الموزع على شراء منتجات من المُصنع بما لا يقل عن ثلاثمائة ألف يورو (300,000) خلال مدة هذا العقد ("طلب الشراء")، وعن مدة سريان هذا العقد. ويسمح المُصنع بتقسيم طلبات الشراء وتقسيم الدفعات.
ب. يُدفع طلب الشراء مُقدمًا، عن طريق حوالة مصرفية ("السداد"). ويتحمل الموزع المسؤولية عن الضرائب والرسوم المفروضة على التحويل المصرفي.
ج. سوف يكون السداد وفقًا لاختيار المُصنع بالكامل في أحد البنوك التي يحددها قبل نهاية السنة التقويمية عن كل سنة تكون فيها الاتفاقية سارية المفعول. ويوفر المُصنع الموزع بمعلومات البنك عند تقديم عرض الأسعار. ويمنح المُصنع فترة سماح مدتها أسبوعين (2) للموزع من المواعيد المُحددة للسداد. وفي حالة عدم السداد للمُصنع، فسوف تُنهى هذه الاتفاقية على الفور دون توافر حق الرجوع للموزع.
د. يُشكل طلب الشراء هذا مبلغ شراء مضمون لفترة زمنية محددة. ويوافق الموزع على شراء منتجات من المُصنع بما يساوي الدفعات.
ه. سيتم تخفيض طلب الشراء وللكمية التي اشتراها الموزع، وفقًا لقائمة الأسعار المنشورة من الشركة.
و. يحق للمُصنع تحسين وتعديل منتجاته مع ضرورة إخطار الموزع بأية تعديلات بما في ذلك زيادة أو انخفاض السعر وفقًا لذلك بإرسال إخطار مُسبق مدته ثلاثين (30) يومًا. ويوافق الموزع ويقبل تمامًا هذه التعديلات بحسن نية طالما أنها لا تتجاوز عشرة في المئة (± 10٪).

يحتفظ الموزع في كافة الأوقات بمخزونات كافية من المنتجات المُصنعة، ويروج بقوة وفعالية لبيع منتجات المُصنع من خلال كافة قنوات التوزيع الرائجة والمستخدمة في الإقليم، وذلك بما يتفق مع السياسات والبرامج التسويقية القائمة للمُصنع. ويبذل الموزع أفضل جهوده لبيع منتجات المُصنع للوكلاء المجتهدين وحسني السمعة والقادرين ماليًا بما يوفر خدمة مرضية للمستهلك في جميع أنحاء منطقة تسويق الموزع الأولية. ويُصرح للموزع إبرام اتفاقيات كتابية مع الوكلاء التابعين له لشراء منتجات المُصنع أو إعادة بيعها أو صيانتها وفقًا للنماذج التي يعتمدها المُصنع لهذا الغرض.

Fixed term deposits
We have made it clearer that fixed term deposits held with us are not available for withdrawal until their maturity date. If no instructions are received by us two working days prior to the maturity of your fixed term deposit, the principal amount and interest will be automatically re-deposited at the prevailing rate of interest for a similar period.
Overdrafts
We make it clear that if your account is overdrawn without you having an overdraft agreement with us we will charge our unarranged overdraft interest rate on the whole amount by which you are overdrawn until your account is brought back into credit or we have agreed the overdraft. This rate is set out in our Tariff of Charges.
Access to your money
We have put into a table the information about when payments sent to you will reach your account and when payments sent by you will reach the account of the recipient. This table is contained in the enclosed Timescales for making or receiving payments. It includes the cut off times for making payments. It also covers the check clearing Condition 22

cycle, which determines when a check you have paid in will be available for drawing.
Data protection
We spell out who we may disclose your data to and in what circumstances. For example:
• To other companies in the National Bank of Kuwait Group or our agents;
• For fraud prevention purposes;
• To subcontractors or persons acting as our agents and under a duty of confidentiality to us;
• To any person who may assume our rights under these Conditions;
• If we have a right or duty to disclose or are compelled to do so by law, for example to comply with anti-money laundering or anti-bribery and corruption regulations;
• To tax authorities in the United Kingdom and elsewhere
if we are obliged by law to do so.
Financial crime: compliance requirements
We state that we or our clearing agent may carry out Financial Crime Risk Management Activity (a term we define in the Conditions). This may result in delays in processing your instructions to make a payment or it may result in the instructions not being carried out at all. Neither we nor our clearing agent will be responsible to you or any third party for any loss incurred as a result of such delay or refusal to carry out your instructions.
Debit cards
We state that we reserve the right to prevent your card from being used in certain countries if, at our discretion, we believe this is necessary to reduce fraud or for any other valid reason. You should contact us prior to travelling abroad to check whether there are any restrictions on the use of your card in the country or countries you are intending to visit.
We have also set out more clearly in a table contained in the Conditions when you will and will not be liable for unauthorized payments made using your card.
